Standard Terms & Conditions

  1. Pricing is good for 90 days from the date of the quote.
     
  2. State and local sales and/or use taxes are not included in the prices, unless otherwise stated in the quotation. Any applicable taxes will be added to the invoice unless an exemption certificate is provided with the purchase order.
     
  3. In order to be a valid order and to avoid delays in scheduling and production, be sure your order has the following:  
    • A. Orders must be in written form and submitted on an official Purchase Order with an authorized signature.
      B. The correct quantity must be listed.
      C. Color and laminate selections. Verbal color selections are not acceptable.
      D. Shipping address with point of contact and telephone number.
      E. Requested delivery date.
      F. Tax exemption certificate if claiming tax-exempt status.
      G. Completed PSI credit forms.
      H. Payment bond or irrevocable sight letter of credit, if required.
      I. Down-payment, if required.
      J. Drawer placement for platform beds.
      K. Pedestal placement on desks.
     
  4. Prices are based on the use of one-PSI standard color scheme. A color scheme consists of one of the following standard PSI’s laminate patterns: maple, beech, oak, pear, or mahogany.
     
  5. Prices do not include the following:  
    • A. Hardware for floor and/or wall mounting, unless otherwise stated on the quotation. Any required assembly hardware is included in the prices.
      B. Special certificates to do business with.
      C. Payment or performance bond.
      D. Special insurance coverage or limits.
      E. Samples or first articles.
      F. Installation services, unless otherwise state on the quotation.
      G. Any applicable sales or use taxes.
     
  6. Payment terms are as stated on the quotation.
     
  7. Orders are not binding on PSI until order confirmation is delivered. The order confirmation and terms and conditions contained are the final expression of the agreement between the customer and PSI, and supersedes all prior oral and written statements regarding the order. The confirmation can be modified only by a written communication or reconfirmation signed by PSI. Any proposal for additional or different terms, or any attempt by the buyer to vary in any degree any of the terms in buyer’s acceptance is hereby objected to and rejected.
     
  8. If an order is canceled after production has started, the items cannot be credited. Actual costs incurred will be charged to the customer.
     
  9. PSI will accept reasonable change orders with the following conditions:
    • A. The request for change must be submitted in writing and received at least 10 working days before the manufacturing process has begun.
      B. Changes may be subjected to additional charges for material, labor, and administrative  costs.
      C. Changes may result in an extended delivery date.
     
  10. Customers should carefully inspect all items at time of delivery, note any obvious damage on the delivery receipt, and contact PSI, in writing, within 24 hours of receipt of shipment. Any subsequent concealed damage must be reported to PSI, in writing, within 72 hours of receipt of shipment. PSI does not assume any responsibility for damage that occurs during storage unless storage is at a PSI facility and control of the products remains with PSI.
     
  11. All claims against PSI other than valid warranty claims, including claims for shortages or errors, must be made in writing within 48 hours after delivery of final shipment. The facts on which the claim is based must be directed in writing to the PSI factory. Failure to make any such claim against PSI within such 48-hour period shall constitute acceptance of the merchandise and waiver of any such shortages, errors, or other claims. The cost of field repairs or adjustments, performed by any non-PSI representative, will not be reimbursed unless previously authorized in writing by PSI.
     
  12. Prices listed on quotations are FOB the PSI factory in Temple, TX. A separate line item for shipping costs is provided. Prices do not include special packaging requirements beyond PSI’s standard packaging; storage or insurance claims; inside delivery; or installation, unless otherwise stated on the quotation.
     
  13. Unless otherwise arranged, all of PSI’s shipments are made on a dock-to-dock basis (sidewalk delivery). Unless otherwise specified, PSI will determine the best method of shipment.
     
  14. If merchandise is ready for shipment according to the terms of the confirmation and the purchaser cannot receive it when it is ready, the merchandise will be shipped to a customer-provided storage facility. In exceptional cases, the merchandise may be stored by PSI at the customer’s expense. These charges may at PSI’s option, be added to the invoice. The charges will be a one-time handling fee of $400 per truckload of furniture and a storage fee of $325 per month or part of a month per truckload of furniture.
     
  15. No merchandise may be returned to PSI without PSI’s consent, and any returns must be in accordance with PSI’s shipping instructions. Returns for reasons other than valid warranty claims will be subject to shipping and handling charges, and must be shipped FOB PSI’s designated destination. In addition, a restocking fee of 25% will be applied to all items returned that are not covered by warranty.
     
  16. Delivery will be within the time period stated on the quotation and in one continuous phase in full truck (van) loads, unless otherwise stated on the quotation. It is the customer’s responsibility to unload each truck, unless installation services are purchased. PSI common carriers allow two (2) hours for unloading each truck. Each additional hour may be charged to the customer at a rate of $50.00 per hour.
     
  17. Pricing is based on receipt of payment within the terms stated on the quotation, with no retainage. All offers originate in Bell County, TX. All payments are due in Bell County, TX. All disputes will be resolved in Bell County, TX.
     
  18. All weights, cubes and fabric yardages listed in the catalog or proposal are approximate measurements only.
